DOLOČILA IN POGOJI ZA PRODAJO (»PRODAJNI POGOJI«) IZDELKOV, KUPLJENIH OD DRUŽBE GLOBAL-E NIZOZEMSKA

Veljavno od dne [datum] 2019

 

Prodajni pogoji določajo pogoje za prodajo, ki veljajo med posamezniki (delujočimi za namene, ki niso vezani na trgovanje, poslovanje, obrt ali poklic tega posameznika), ki želijo kupiti izdelke SUUNTO (»Izdelki«) na spletni strani www.suunto.com (»Spletna trgovina«) in Global-e NL B.V., nizozemsko družbo, registrirano pod številko 72541466, z registriranim sedežem na naslovu Krijn Taconiskade 430 1087 HW Amsterdam, Nizozemska (»Global-e«), ki deluje kot prodajalec.

Ti Pogoji predstavljajo zavezujočo pogodbo med vami in družbo Global-e. Prodajni pogoji ne predstavljajo nobene odgovornosti ali obveznosti družbe Suunto Oy ali njenih podružnic do vas, razen če je to izrecno navedeno drugače.

 

  1. Vsebina prodajnih pogojev

Prodajni pogoji (vključno s politiko zasebnosti družbe Global-e, navedeno v razdelku 11 spodaj) veljajo samo za nakupe, izvedene na spletni trgovini, kjer deluje Global-e kot prodajalec.

Ti prodajni pogoji se lahko spremenijo. Datum veljave teh sprememb bo naveden zgoraj. Vse spremembe pogojev bodo veljale za naročila, izvedene na ali po datumu veljave.

Z ODDAJO NAROČILA ZA IZDELEK/-E SE STRINJATE IN SPREJEMATE TE PRODAJNE POGOJE.

  1. Oddaja naročila

Družba Global-e je sklenila sodelovanje z družbo Suunto, da bi vam omogočila nakup izdelkov Suunto s strani družbe Global-e, kot tudi njihovo dostavo. To vam omogoča, da kupite zadevne izdelke od družbe Global-e v vaši lokalni valuti in po ceni, ki vključuje vse pripadajoče prodajne davke (kot npr. DDV) in mednarodne stroške ter pristojbine za dostavo (»Stroški dostave«) kot tudi, če so na voljo za predhodno plačilo, vse uvozne dajatve, tarife in podobne pristojbine, ki lahko nastanejo v namembnem kraju (»Uvozne dajatve«). Na razdelku blagajne (ali podobnem) (»Blagajna«) bo določeno, ali bodo uvozne dajatve za vas plačane vnaprej. Če ni drugače navedeno na Blagajni, bodo uvozne dajatve plačane vnaprej.

Svetujemo vam, da preverite vse lastnosti izdelka/-ov, ki ga/jih kupujete od družbe Global-e, vključno s ceno, stroški dostave in (če je na voljo za predhodno plačilo) uvoznimi dajatvami, če vam jih družba Global-e prikaže na Blagajni, ki jo na spletni trgovini Suunto, ki jo obiskujete, upravlja družba Global-e. Stran Blagajne preglejte, da prepoznate in ustrezno popravite morebitne napake.

Z oddajo naročila na Blagajni (»Naročilo«) se strinjate, da je prodajalec družba Global-e in ne družba Suunto, in da po uspešnem preverjanju vašega naročila in plačilnih informacij, ki ga opravi Global-e, družba Global-e izdelke kupi od družbe Suunto in jih vam proda naprej v skladu s temi Prodajnimi pogoji.

Nakup izdelkov poteka na spletni trgovini. Naročilo za izbrani/-e izdelek/-ke oddate z uporabo postopka Blagajne. To vključuje izbiro izdelkov, njihov prenos v nakupovalni/-o voziček/košarico na spletni strani in oddajo naročila s klikom gumba »PLAČAJ IN ODDAJ NAROČILO« (ali podobnega gumba) na Blagajni. Ta postopek vam omogoča, da preverite in prilagodite morebitne napake, preden naročilo oddate. Za to funkcijo izberite gumb »Nazaj«.

Upoštevajte, da lahko naročila oddajo samo posamezniki, ki niso tržno aktivni. Zato ne bomo sprejeli naročil, ki jih oddajo podjetja, društva, samostojni podjetniki ali katera koli druge oblike pravnih subjektov.

Za nakup izdelka/-kov morate:

  • zagotoviti svoje ime in naslov, telefonsko številko, elektronski naslov, plačilne podatke in druge zahtevane informacije;
  • biti stari najmanj 18 let (ali dosegati starost, ki je pravno določena z lokalno zakonodajo vaše države prebivališča, s čimer se zavežete tem Prodajnim pogojem).

V primeru, da ste ustvarili račun z osebnimi uporabniškimi podatki in geslom, poskrbite za to, da bo vaše geslo vedno zaščiteno in ga ne razkrivajte nikomur drugemu, saj ste osebno odgovorni za vsak nakup, ki ga opravite s svojimi uporabniškimi podatki in geslom.

  1. Obdelava naročila in sklepanje pogodbe

Ko oddate svoje naročilo, bo družba Global-e v najkrajšem možnem času potrdila naročilo in vam poslala e-pošto, ki bo vsebovala zadevne podrobnosti vašega naročila. Upoštevajte, da to ne pomeni, da družba Global-e sprejme vaše naročilo za nakup izdelka. E-pošta potrjuje le prejem vašega naročila. Družba Global-e ne sprejme vašega naročila (ni zavezana, da vam zagotovi izdelek/-e) in pogodba za prodajo zadevnih izdelkov ne bo sklenjena, dokler Global-e ne bo izrecno sprejela vašega naročila in vas po e-pošti obvestila, da so vam bili izdelki poslani (»Potrditev naročila«). E-pošta o potrditvi naročila je vaše dokazilo o nakupu, zato ga shranite, saj vaša pogodba z naše strani ne bo shranjena.

Če način plačila, ki ga izberete na Blagajni, podpira mehanizem odobritve (npr. večina kreditnih/debetnih kartic), bo družba Global-e ob vaši oddaji naročila samo odobrila zadevni znesek, plačilo pa bo izvedeno šele, ko vam bo/-do izdelek/-ki poslani. Upoštevajte, da zaračuna družba Global-e celoten znesek naročila, ne glede na to, ali je naročilo poslano po delih.

Družba Global-e si prizadeva za čim hitrejšo obravnavo in celovitost vsakega naročila. Kljub temu lahko Global-e, zatem ko vam izda ustrezno obvestilo, zavrne naročilo, in sicer v naslednjih primerih: (a) izdelki niso na voljo (v primeru, da je bilo plačilo izvedeno, vam bo družba Global-e povrnila zaračunani znesek skladno s Prodajnimi pogoji), ali (b) Global-e ne more preveriti navedenih plačilnih podatkov.

Global-e lahko, v primeru domneve, da se identiteta, naslov, elektronski naslov in/ali plačilne informacije uporabljajo goljufijo ali na nepooblaščen način, zahteva tudi dodatne načine preverjanja ali dodatne informacije, preden naročilo sprejme. Global-e se lahko po svoji lastni presoji odloči, da ne sprejme naročil, predvsem pa zelo neobičajnih naročil, za katera domneva, da niso bila izvedena v dobri veri ali naročil, ki jih niso oddali posamezniki. Družba Global-e ni obvezana navesti razloga za zavrnitev katerega koli naročila, čeprav lahko to stori po svoji lastni presoji.

Global-e je pravno obvezana za dobavo izdelkov, ki so skladni s pogodbo. Poleg tega nobena točka teh Prodajnih pogojev ne vpliva na vaše zakonske pravice, povezane z izdelki, ki niso skladni s pogodbo, naj gre za izdelke z napako, izdelke, ki niso skladni z opisom ali izdelke, ki so kako drugače neustrezni.

  1. Cene, dobavni in manipulativni stroški, davki in uvozne dajatve

Cena, zaračunana za izdelek, je cena, veljavna v trenutku oddaje naročila pri preverjanju in bo opredeljena v elektronski pošti naročila. Cena izdelka je lahko vnaprej nastavljena v vaši lokalni valuti ali izračunana skladno z menjalnim razmerjem med osnovno valuto, prikazano na spletni trgovini, in valuto, ki jo izberete kot del postopka nakupa v trenutku, ko oddate svoje naročilo in ki je prikazana v naročilu. Menjalna razmerja so določena in posodobljena redno, in seznanjeni ste s tem, da lahko te posodobitve vplivajo na končno ceno izdelka. Zaračunano vam bo skladno z veljavnim menjalnim razmerjem v trenutku dejanske oddaje naročila.

Cene lahko kadar koli spremenimo brez predhodnega obvestila. Dvig cene bo veljal samo za naročila, izdana po uvedbi tovrstnih sprememb.

Cene za izdelek/-ke vključujejo DDV ali druge veljavne pristojbine, vendar ne vključujejo stroškov pošiljanja in manipulativnih stroškov ali uvoznih dajatev.

Ločeni stroški za pošiljanje, manipulativni stroški, uvozne dajatve in zadevni DDV ali druge pristojbine bodo prikazani na Blagajni in med postopkom Blagajne, vsekakor pa tudi v elektronskem obvestilu o potrditvi naročila.

Če ni drugače navedeno na Blagajni, bodo uvozne dajatve plačane vnaprej. Če uvozne dajatve za vas ne bodo plačane vnaprej, boste ob tem obveščeni na Blagajni in v elektronskem obvestilu o potrditvi naročila. V tem/teh primeru/primerih boste (a) obveščeni, da znesek uvoznih dajatev, prikazan v možnosti predplačila vašega naročila, morda odstopa od dejanskih uvoznih dajatev, ki jih morate plačati, kot je določeno s strani zadevnega organa vaše namembne države, kar lahko pomeni več ali manj od ocenjenega zneska, in (b) v celoti odgovorni za plačilo vseh zadevnih uvoznih dajatev neposredno pristojnemu organu (velja tudi v primeru reklamacije ali preklica oziroma vračila izdelka/-ov, v kolikor je to skladno z zakonodajo vaše države), kot je opredeljeno s strani organov namembne države, ter da družba Global-e ne prevzema nobene odgovornosti ali obveznosti v zvezi z navedenim.

Če ste prebivalec Rusije, ne boste imeli možnosti predplačila uvoznih dajatev zaradi določitev lokalne zakonodaje.

Družba Global-e lahko sklene pogodbo z lokalnim pooblaščenim carinskim posrednikom v vaši državi. Sprejemanje teh Prodajnih pogojev služi kot pooblastilo za zadevnega carinskega posrednika, da deluje kot vaš zastopnik in: (a) izvede transakcije z lokalnim pristojnim organom, (b) v vašem imenu izda zadevne dokumente, povezane z uvozom izdelka/-ov v vašem naročilu, (c) olajša plačilo veljavnih uvoznih dajatev in (d) če je ustrezno, vrne zadevni/-e izdelek/-ke družbi Global-e (predmet teh Prodajnih pogojev). Kljub temu se strinjate, da boste v primeru vračila izdelka/-kov skladno s spodaj navedeno politiko vračila vi sami (in ne družba Global-e ali kdorkoli drug v vašem imenu) popolnoma odgovorni za zahtevo vračila zadevnih uvoznih dajatev od pristojnega davčnega organa in da družba Global-e ne bo prevzela odgovornosti ali obveznosti, povezanih s tovrstno zahtevo.

Svetujemo vam, da preverite vse lastnosti izdelka/-ov, ki ga/jih kupujete od družbe Global-e, vključno s ceno, stroški dostave in (če je na voljo za predhodno plačilo) uvoznimi dajatvami, če vam jih družba Global-e prikaže na Blagajni, ki jo na spletni trgovini Suunto, ki jo obiskujete, upravlja družba Global-e. Stran Blagajne preglejte, da prepoznate in ustrezno popravite morebitne napake.

  1. Dobava in uvoznik zapisa

Vseh izdelkov ni mogoče dostaviti povsod (zaradi omejitev samega izdelka ali omejitev namembne države), vendar boste o tem obveščeni na Blagajni, ki vam ne bo omogočila oddaje naročila, če blaga ni mogoče dostaviti na vaš opredeljen naslov.

Dostavljati ne moremo v/na:

Čezoceanske vojaške naslove,

Hotele in hostle ter

zapore.

Družba Global-e vam bo predala lastništvo naročenega/-ih izdelka/-ov v trenutku, ko je/so vam odposlan/-i (pod pogojem, da ste opravili celotno plačilo cene izdelka/-ov, vključno s stroški dostave in drugimi zadevnimi stroški, določenimi v teh Prodajnih pogojih, kot stopijo v veljavo). Tveganje poškodovanja ali izgube izdelka/-ov je ob prejemu predana na vas ali osebo, ki ste jo pooblastili za prevzem ali lastništvo izdelka/-ov v vašem imenu.

Veljali boste za uvoznika zapisa izdelka/-ov in mi vam bomo le olajšali uvoz izdelka v vašem imenu kot vaš zastopnik. Zato se morate upoštevati vse veljavne zakone, predpise, certifikate in pravila države, v katero uvažate izdelek/-ke. Strinjate se, da ne boste ponovno izvažali ali prodali izdelka/-ov, ki ste ga/jih naročili.

Seznanjeni ste in strinjate se, da lahko družba Global-e, ali kateri koli izmed naših tretjih ponudnikov odpremnih storitev v vašem imenu (vsak »Ponudnik odpreme«) obravnava dostavo in izpolnjevanje vašega naročila, in da lahko Global-e ravna po lastni presoji in po presoji ponudnika odpreme, ki ga izberemo.

Izbrani čas dostave, kot tudi možnost dostave, bosta potrjena v potrdilu naročila. Dostava velja kot zaključena, ko blago dostavimo na naslov, ki ste ga navedli ob naročilu (to lahko vključuje pristanišče vstopa v namembno državo, kot je navedeno v naročilu, v primeru, da uvozne dajatve niso bile vnaprej plačane).

Različni deli vašega naročila so lahko dobavleni ob različnih datumih. Če ni drugače navedeno in kot predmet veljavne zakonodaje, so dobavni datumi, navedeni na spletni trgovini in/ali kot del postopka naročila le ocene, ne nespremenljivi datumi. Vaše naročilo bo zaključeno do datuma dostave, navedenega na potrdilu naročila, ali, če datum dostave ni opredeljen, v 30 dneh po datumu potrditve naročila, razen, če se posebej strinjate s poznejšim datumom dostave, ali v primeru izrednih razmer. Časovni okvir dostave je odvisen od vašega naslova dostave ali izbranega načina dostave. Ne moremo določiti točno določenega datuma in časa dostave. Ne prevzemamo odgovornosti za časovno zamudo dostave ali nezmožnost izvedbe dostave, če zamuda ali neuspeh izvedbe nista naša napaka ali krivda v skladu z zakonodajo ali splošno sprejetimi načeli.

Družbi Suunto in Global-e ne prevzemata odgovornosti za zamudo dostave, če je to posledica okoliščin zunaj njihovega razumnega nadzora in kjer nobena stran ni mogla sprejeti razumnih ukrepov za odpravo zamude. Na primer, zamude, ki izhajajo iz postopkov carinjenja ali drugih dejanj pristojnih organov so splošno izven nadzora, ali zamude, ki izhajajo neposredno iz vaših dejan ali opustitev.

Če naročite izdelek/-ke po meri, bo proizvodni čas za tovrstni/-e izdelek/-ke, dodan k času dostave, kar čas dostave lahko spremeni.

Če prejmete obvestilo o neuspešnem poskusu dostave, je vaša odgovornost, da s pomočjo kontaktnih podatkov na pogodbi stopite v stik z dostavnim podjetjem in uredite ponovno dostavo. Če ste izbrali način dostave, ki ne zahteva dostave s podpisom in nihče ni na voljo, ki bi prevzel izdelek/-ke, si pridržujemo pravico blago pustiti na vašem pragu, hodniku ali na recepciji, če je to mogoče. V primeru, če nerazumno odlagate ali omejujete dostavo blaga, potem ko smo vas obvestili, da smo poskušali dostaviti naročen/-e izdelek/-ke, ali če ste navedli nepravilen naslov za dostavo, kar povzroči neuspelo dostavo, bo paket vrnjen v naše skladišče. Če izdelek/-ki ostane/-jo nedostavljen/-i po prvem poskusu dostave 7 delovnih dni in so vrnjeni v naše skladišče, bomo preklicali pogodbo in vam znesek vrnili v skladu z določili člena 9.

Spodbujamo vas, da pregledate dostavljeni paket in prejet/-e izdelek/-e takoj po prejetju ter preverite pogoje in celovitost vsebine dostavljenega paketa.   1. Razpoložljivost izdelka/-kov

Ne zagotavljamo razpoložljivosti katerega koli izdelka na spletni trgovini.

Razen v primeru sprejetja vašega naročila, si pridržujemo pravico, da brez obveznosti in predhodnega obvestila spremenimo, prekinemo ali ustavimo razpoložljivost katerega/-ih koli izdelka/-ov.

  1. Združljivost, informacije o izdelku

Skrbno oddajte naročilo, da zagotovite, da je/so kupljeni izdelek/-ki, primeren/-ni za načrtovano uporabo.   1. Plačilo

Plačate lahko s plačilnimi sredstvi, ki so navedena na Blagajni. Plačilo je lahko opravljeno s kreditnimi karticami, navedenimi na Blagajni, s kartico Paypal, ali s podobnim plačilnimi sredstvi (odvisno od vaše geografske lokacije). Ob plačilu bo deskriptor, ki ga boste videli, vključeval Global-e, ki bo označen kot »Global-e« in bo v bistvu izgledal tako: **Global-e//Suunto**.

Obveščeni ste in strinjate se s tem, da: (i) vam bomo mi, ali vam bo naš tretji obdelovalec plačil (»Obdelovalec plačil«) zaračunal s plačilnim načinom, ki ste ga izbrali ob naročilu in za druge plačilne zneske v teh Prodajnih pogojih, ki nastanejo v zvezi s tem naročilom; (ii) boste zagotovili veljavne in resnične podatke o sebi; (iii) lahko uporabimo orodja, programsko opremo ali storitve obdelovalca plačil za obdelavo transakcij v vašem imenu; ter (iv) vas lahko banka ali ponudnik kreditne/debetne kartice bremeni z dodatnimi stroški (na primer s stroškom mednarodne transakcije ali čezmejne provizije) ali dodatnimi stroški, ki jih določi vaša banka ali ponudnik kreditne/debetne kartice, in da v tem primeru ne gre za stroške ali provizije družb Global-e ali Suunto, ter da družbi nad tem nimata nadzora ali moči vpliva, saj gre za zahteve in tržne pogoje med vami in vašo banko oziroma ponudnikom kreditne/debetne kartice, in da mi (ali Suunto) nimamo vnaprejšnjega vpogleda v to, ali vam bodo tovrstni stroški ali provizije zaračunane.

Odvisno od vaše geografske lokacije, bo plačilo izvedeno prek družbe Global-e Australia Pty Ltd., podružnice družbe Global-e.

Vsa plačila bodo šla skozi postopek preverjanja. Zaradi tega lahko družba Global-e stopi v stik z vami, da potrdi vaše podatke o naročilu in podrobnosti naročila, kot so točnost naslova ali točnost naslova osebe, navedenega kot dostavnega naslova itn.

Plačilo z računom Klarna: V sodelovanje z družbo Klarna in ob upoštevanju zadevne zakonodaje boste imeli možnost, da nakup blaga opravite s plačilnim načinom Klarna. Pogoji, ki veljajo za plačilo z računom Klarna, so navedeni tukaj, ob upoštevanju, da je nemški (ne angleški) jezik tisti, ki ureja in zavezuje te pogoje. Upravičenost do uporabe plačilnega načina Klarna bo odobrena s strani družbe Klarna po njihovi lastni presoji in ne prevzemamo odgovornosti v zvezi z vašo uporabo plačilnega načina Klarna. Kadar se odločite za plačilo blaga z uporabo plačilnega načina Klarna, boste družbi Klarna morali posredovati svoje osebne podatke in pogoji politike zasebnosti družbe Klarna bodo veljali za njihovo uporabo vaših osebnih podatkov. Global-e (ali Suunto) ne prevzemata odgovornosti za njihovo uporabo vaših osebnih podatkov.

  1. Vrnitev blaga in vračilo denarja

Upoštevajte, da družba Global-e obravnava samo vrnitve blaga in vračila denarja za izdelek/-ke, kupljene v družbi Global-e.

Pravica do preklica:

Če ste kupec in prebivalec držav članic Evropske unije, Islandije, Liechtensteina ali Norveške (»EGP«) in ste kupili izdelek/-ke za svojo lastno uporabo ter želite pogodbo preklicati in vrniti izdelek/-ke, lahko vračilo opravite v odpovednem roku, ki preteče po 14 dneh od datuma prejema izdelka. Te pravice ne omejuje druga ločena politika o vračilih v teh Prodajnih pogojih.

Če ste kupec in prebivalec države izven Evropske unije, Islandije, Liechtensteina ali Norveške (»EGP«) in ste kupili izdelek/-ke za lastno uporabo ter želite preklicati pogodbo in vrniti izdelek/-ke, lahko vračilo opravite v odpovednem roku, ki preteče po 30 dneh od datuma prejema izdelka. Te pravice ne omejuje druga ločena politika o vračilih v teh Prodajnih pogojih.

Za uveljavljanje pravice do preklica morate družbo Global-e o svoji odločitvi preklica naročila obvestiti z jasno izjavo na spletnem portalu tukaj. Za izpolnitev roka za preklic naročila je dovolj, da pošljete obvestilo o uveljavljanju pravice do preklica, preden rok za preklic poteče. Uporabite lahko obrazec za preklic na koncu tega dokumenta, vendar to ni obvezno.

Vrnete lahko samo izdelek/-ke, s katerim/-i ste skrbno ravnali in ki ni/-so bil/-i uporabljen/-i na način, ki presega meje tistega, kar je potrebno za določitev narave, značilnosti in delovanja izdelka/-ov. Ko družba Global-e prejme vašo spletno izjavo o preklicu pogodbe, vam bomo poslali potrditveno e-sporočilo.

Če ste prebivalec države članice Evropske unije, Islandije, Liechtensteina ali Norveške (»EGP«), boste morali izdelek/-ke vrniti najpozneje v 14 dneh od datuma, ko ste sporočili svojo odločitev o odstopu od pogodbe. Sami boste prevzeli neposredne stroške za vračilo izdelka/-ov.

Postopek vračila:

Vrnili vam bomo znesek, ki ste ga plačali za izdelek/-ke, vključno z začetnimi stroški pošiljanja, in sicer v 2 dneh od prejema vrnjenih izdelkov v naše skladišče. V primeru, da se odločite za hitro pošiljanje paketa, vam lahko povrnemo le standardne začetne stroške pošiljanja. Vračilo bo potrjeno po e-pošti. Vračilo plačila bo izvedeno po enaki poti plačilnega sredstva, ki ste ga uporabili za prvotno transakcijo.

Če vrnete izdelek/-ke, ki 1) ni/niso upravičen/-i do vračila, 2) ste ga/jih poškodovali ali uporabili na način, ki presega meje tistega, kar je potrebno za določitev narave, značilnosti in delovanja izdelka/-ov, ali 3) kjer del izdelka/-ov manjka, ali 4) če za izdelek/-ke niste kako drugače dobro skrbeli med uporabo ali postopkom vračila, si pridržujemo pravico, da zavrnemo izdelek in vračilo denarja ali zmanjšamo znesek vračila, in sicer za zmanjšano vrednost izdelka v skladu z veljavno zakonodajo.

Drugi primeri vračila: Če izdelek/-ki ne ustreza/-jo izdelku/-om, ki ste ga/jih naročili, ali če je vaš paket nepopoln oziroma je bil poškodovan med dostavo, se nemudoma obrnite na oddelek za podporo strankam Suunto.

  1. Garancije in zakonske pravice

Družba Suunto nudi mednarodno omejeno garancijo za svoje izdelke v skladu z garancijskimi pogoji družbe Suunto. V zvezi z nakupom na spletni trgovini vas bosta družbi Suunto in Global-e obvestili po elektronski pošti ali drugem načinu elektronskega obveščanja.

TERMS AND CONDITIONS OF SALE ("SALES TERMS") FOR PRODUCTS PURCHASED FROM GLOBAL-E NL

Effective as of 28.05.2019

 

These Sales Terms establish the conditions for the sales made between any individual (acting for purposes which are wholly outside that individual’s trade, business, craft or profession) wishing to make a purchase of SUUNTO products (“Products”) from www.suunto.com (the “Online Store”) and Global-e NL B.V., a Dutch company registered under number 72541466, having its registered office at Krijn Taconiskade 430 1087 HW Amsterdam The Netherlands ("Global-e") operating as a seller.

These Terms and Conditions form a binding contract between you and Global-e. These Sales Terms do not create any responsibilities or liabilities for Suunto Oy or its affiliates in respect to you unless expressly stated otherwise.

 

  1. About These Sales Terms

These Sales Terms (including Global-e’s Privacy Policy referred to in Section 11 below) only apply to purchases made in the Online Store when Global-e operates as the seller .

These Sales Terms may be changed from time to time. The effective date of such change will be stated above. Any changes to the Terms and Conditions will apply to orders placed on or after the effective date. 

BY PLACING AN ORDER FOR PRODUCT(S) YOU AGREE TO BE BOUND BY AND ACCEPT THESE SALES TERMS.

  1. Placing an Order

Global-e has agreement with Suunto, to make Suunto’s Products available to you for purchase from, and delivered by, Global-e. This allows you to buy such Products from Global-e in your local currency and at a price that includes any applicable sales taxes (such as VAT), plus international delivery costs and fees (“Delivery Costs") and, if available for pre-payment, any import duties, tariffs and similar fees that may be imposed by the delivery destination country ("Import Charges"). It will be identified at the checkout (or similar) facility (“Checkout”) whether Import Charges will be pre-paid for you. Unless otherwise stated at the Checkout, the Import Charges will be pre-paid for you.

You are advised that the characteristics of the Products you are buying from Global-e, as well as the price, Delivery Costs and (if available for pre-payment) Import Charges, shall be those displayed to you by Global-e at the Checkout, operated by Global-e on Suunto’s Online Store you were browsing. Please make sure you review your Checkout page so that you can identify and correct any input errors.

By placing an order via the Checkout ("Order"), you acknowledge that the seller is Global-e and not Suunto, and that upon successful verification by Global-e of your Order and payment information, Global-e will buy the Products from Suunto and resell it to you in accordance with these Sales Terms.

Browsing for Products is done on the Online Store. You place the Order for selected Products by using the Checkout ordering process. This involves selecting the Products, placing it in the shopping cart / basket operated on the Site and transmitting the Order by clicking on the “PAY AND PLACE ORDER” button (or similar button) through the Checkout. This process permits you to check and amend any errors before making an Order by using the “back” button.

Please note that Orders can only be placed by non-trading individuals. Therefore, we will not accept Orders placed by companies, associations, independent contractors or any other kind of legal entity.

To be able to buy Product(s) you have to:

  • provide your name and address, phone number, email address, payment details and other required information;
  • be at least 18 years of age (or any age legally required under local law where you are resident to bind yourself legally to these Sales Terms).

In case you created an account with a personal user identification and password, keep your password protected at all times and do not disclose it to anyone else as you are personally responsible for each purchase made using your user identification and password.

  1. Order Processing and Contract conclusion

Once you have placed your Order, Global-e will promptly acknowledge your Order by sending you an email which will contain the relevant details of your Order. Please note, this does not constitute Global-e’s acceptance of your Order to buy the Products – it only constitutes our acknowledgement of your Order. Global-e does not accept your Order (and therefore make no commitment to provide you with the Products), and no contract for the sale of such Products shall come into effect, until Global-e specifically accept your Order and notify you by email that we it dispatched the Products to you ("Order Confirmation"). The Order Confirmation email is your proof of purchase, please store it as we will not archive your contract.

If the payment method you selected at Checkout supports an authorisation mechanism (e.g. most credit/debit cards), when you place your Order Global-e will only authorise the applicable amounts, and you will be charged only after the Products have been dispatched to you. Please note that Global-e charges the full Order amount even if the Order is dispatched in parts.

Global-e makes the appropriate efforts to process and fulfil any Order as quickly as possible. However, Global-e may, upon notice to you, decline to accept your Order if: (a) the Products are unavailable (in which case, if the payment was processed, Global-e will refund you in accordance with these Sales Terms); or (b) Global-e is unable to verify the payment information you provided.

Global-e may, if it suspects someone's identity, address, email address and/or payment information is being used fraudulently or in an unauthorised manner, also require additional verifications or information before accepting any Order. Global-e may choose not to accept Orders in their sole discretion and notably abnormal orders, orders which suspected to be placed not in good faith or orders which have not been placed by individuals. Global-e is not required to provide a reason for declining to accept any order, though may do so in their sole discretion.

Global-e is under a legal duty to supply Products that are in conformity with the contract. Furthermore, nothing in these Sales Terms affects your legal rights in relation to Products that are not in conformity with the contract, whether because they are faulty, not as described or otherwise.

  1. Prices, Shipping and Handling charges, Taxes and Import Charges

The price charged for a Product will be the price in effect at the time the Order is placed on the Checkout and will be set out in the order confirmation email. The price of a Product may be either pre-set in your local currency or calculated according to the rate of exchange between the base currency shown on the Online Store and the currency that you select as part of the purchase process at the time you make your order and which is displayed in the Order. Exchange rates may be set and updated regularly, and you acknowledge that such updates may affect final pricing of the Product. You will be charged according to the applicable exchange rate at the time you actually make your Order.

We may change prices at any time without notice. Price increases will only apply to Orders placed after such changes.

Prices for the Product(s) include VAT or other applicable taxes but do not include charges for shipping and handling or Import Charges.

Separate charges for shipping, handling, Import Charges and their related VAT or other taxes will be shown on the Checkout during the Checkout process and, in any case, on the Order Confirmation email.

Unless otherwise stated at the Checkout, the Import Charges will be pre-paid for you. If the Import Charges will not be pre-paid for you, it will be indicated at the Checkout and the Order Confirmation email. In such cases (a) you are advised that the amount of Import Charges displayed under the pre-pay option in your order may not reflect the actual Import Charges payable by you as determined by your delivery destination country’s relevant authority, which may be more or less than such estimate; and (b) you will be fully responsible for paying all applicable Import Charges directly to the relevant authority (and for reclaiming them in the event of a cancellation or return or a return of Products(s), to the extent possible under the laws of your country) as determined by the authorities of the delivery destination country, and Global-e shall have no responsibility or liability in connection with the foregoing.

If you are a resident of Russia, you will not have the option to pre-pay Import Charges due to local legislation.

Global-e may contract with a local licensed customs broker in your country. Agreement to these Sales Terms serve as an authorisation for the applicable customs broker to act as your agent to: (a) conduct transactions with the local applicable authority, (b) execute related documents on your behalf in connection with the import of Products(s) in your order, (c) facilitate the payment of applicable import charges; and (d) if applicable, return such Products(s) to Global-e (subject to these Sales Terms). However, you acknowledge that, in the case of a return of Products(s) under the Returns Policy below, you (and not Global-e or anyone on its behalf) will be fully responsible for claiming back such import charges from the applicable tax authority, to the extent possible, and Global-e shall have no responsibility or liability in connection with such claim.

You are advised that the characteristics of the Products you are buying from Global-e, as well as the price, Delivery Costs and (if available for pre-payment) Import Charges, shall be those displayed to you by Global-e at the Checkout, operated by Global-e on Suunto’s Online Store you were browsing.   1. Delivery and Importer of record

Not all Products can be delivered anywhere (due to limitations imposed on the Products or by the destination country) but the Checkout will not permit you to submit your Order if the Merchandise cannot be delivered to your specified address.

We are unable to deliver to:

P.O. Box addresses,

Overseas army addresses,

Hotels and hostels and

Prisons.

Global-e will pass the ownership of the Products ordered to you the moment it dispatches the Products to you (provided you have made full payment of the Products price plus delivery charges and any other charges payable under these Sales Terms, as applicable). Risk of damage or loss to the Products passes to you on delivery to you or to somebody identified by you to carry or take possession of the Products on your behalf.

You will be considered the importer of record of the Product(s), and we will only be facilitating the importation on your behalf as your agent. You therefore need to comply with all applicable laws, regulations, certifications and rules of the country into which you import the Product(s). You agree that you will not re-export or re-sell any Product(s) which you have ordered.

You acknowledge and agree that Global-e, or anyone of our third-party fulfilment services providers acting on our behalf (each a "Fulfilment Provider") may handle the delivery and fulfilment of your order, and that Global-e have sole discretion as to the Fulfilment Provider we choose to use.

Delivery time as well as the delivery option you chose will be confirmed in the order confirmation. Delivery will be complete when we deliver to the address which you specify when ordering (that may include the port of entrance to the destination country as specified in the order, in case Import Charges have not been pre-paid).

Different parts of your order may be delivered on different dates. Unless otherwise stated, and subject to applicable laws, delivery dates given on the Online Store and/or as part of the ordering process are estimates only. Your order will be fulfilled by the delivery date set out in the order confirmation or, if no delivery date is specified, then within 30 days after the date of the order confirmation, unless you specifically agree to a later date or there are exceptional circumstances. Delivery timeframes are affected by your delivery address and the delivery method selected. We are unable to specify an exact delivery date and time. We shall not be held responsible for delayed delivery or failure to perform, if the delay or failure is neither due to our fault nor for our account pursuant to the law or generally accepted principles.

Neither Suunto nor Global-e have liability for any losses arising from delay in delivery to the extent that this is due to circumstances beyond their reasonable control and where neither could have taken reasonable steps to deal with the delay. For example, delays resulting from customs clearance procedures or other actions of relevant authorities are generally outside our control, or delays resulting directly from your actions or omissions.

If you order any personalised Product(s), the manufacturing time for such personalised Product(s) is added to the delivery time and may postpone the delivery.

If you receive notification of an unsuccessful attempted delivery, it is your responsibility to use the details provided to contact the delivery company to arrange re-delivery. If you have selected a delivery method that does not require a delivery to be signed for and nobody is available to receive the Products, we reserve the right to leave them at the doorstep, hall or reception as available. In case you unreasonably defer delivery or delay the receipt of delivery after we have notified you that we have tried to deliver the ordered Product(s) to you, or if you have provided us with an incorrect delivery address which results in an unsuccessful delivery, the delivery package will be returned to us. If the Product(s) remain undelivered after the first delivery attempt for a period of 7 working days and are returned to us undelivered, we shall be entitled to cancel the contract and we will refund you in accordance with the provisions of Article 9.

We encourage you to examine the delivery package and received Product(s) promptly after they are delivered to you and check their condition and that the content of the delivery package is complete. In case of damaged or missing Product(s), please contact Suunto’s Customer Service here.

  1. Product(s) Availability

We do not guarantee the availability of any Product(s) in the Online Store.

Unless we accepted your Order, we reserve the right, without liability or earlier notice, to change, discontinue or to stop making available any Product(s).

  1. Compatibility, Product Information

Please take care when placing your order to ensure that the Product(s) you purchase are compatible for the intended use. Please use the Online Store as your final point of reference when checking compatibility. In the event of a difference between the Online Store content and any other website (or any other source of information) the compatibility of Product(s) as shown on the Online Store at the time of purchase will be seen as taking precedence.

You are advised that there may be minor differences between the actual Products and the way that it appears on the relevant website, e.g., in relation to appearance / color / texture / finish. The labelling or packaging of the Products may differ from the images of these which you see on the site.

  1. Payment

You may pay with the payment methods specified at the Checkout. Payment can be made by credit cards identified at the Checkout, Paypal, or such other payment methods (depending on your geographical location). When being charged, the descriptor you will see shall include Global-e identified as ‘Global-e’ and will substantially look like this: **Global-e//Suunto**.

You acknowledge and agree that: (i) we, or one of our third party payment processors ("Payment Processor"), will charge you through the payment method you have selected in your order and such other amounts payable under these Sales Terms that may be due in connection with the order; (ii) you will provide valid and current information about yourself; (iii) we may use the tools, software or services of Payment Processors to process transactions on our behalf; and (iv) you may be charged bank or credit/debit card issuer with additional fees (such as foreign transaction fee or cross border fee) or surcharges imposed by your bank or credit/debit card issuer, and those are not Global-e or Suunto charges or fees, and neither have control over this nor do we have any way to mitigate this, as this is purely up to the relationship and commercial terms between you and your bank or credit/debit card issuer, and we (or Suunto) also have no way of knowing in advance whether you will be charged such fees or surcharges.

Depending on your geography, payment may be routed through Global-e Australia Pty Ltd., Global-e’s affiliate.

All payments will be subject to security checks. Therefore Global-e may contact you to confirm your order information and order details such as proof of address, proof of address in the name of the person indicated for the delivery address etc.

Payment by Invoice with Klarna: In cooperation with Klarna and in certain jurisdictions only, you may be offered the opportunity to purchase goods using Klarna as a payment method. The terms and conditions which will apply to payment by Invoice with Klarna can be found here, noting that German (not English) are the governing and binding language of such terms and conditions. Eligibility for use of the Klarna invoicing payment method will be determined by Klarna in their sole discretion and we accept no liability in respect of your use of Klarna as a payment method. Where you choose to purchase your goods using payment by invoice with Klarna, you will be sharing your personal data with Klarna and the terms of Klarna privacy policy shall apply to their use of your personal information. Global-e (or Suunto) shall have no responsibility for their use of your personal data.

  1. Return and refund

Please note that Global-e will only process returns and refunds for Product(s) bought from Global-e.

Cancellation right:

If you are a Consumer and a resident of a member state of the European Union or Iceland, Liechtenstein, or Norway ("EEA"), and if you have bought Product(s) for your own private use as a consumer and want to exercise your right to cancel the contract and return the Product(s) you may do so during the cancellation period, which will expire after 14 days after the day of delivery. This right is not affected by any separate returns policy in these Sales Terms.

If you are a Consumer and a resident of a country outside the European Union, Iceland, Liechtenstein, and Norway ("EEA”), and if you have bought Product(s) for your own private use as a consumer and want to exercise your right to cancel the contract and return the Product(s) you may do so during the cancellation period, which will expire after 30 days after the day of delivery. To exercise the right to cancel, you must inform Global-e of your decision to cancel your order by a clear statement using the portal here. To meet the cancellation deadline, it is sufficient for you to send your communication concerning your exercise of the right to cancel before the cancellation period has expired. You may use the model cancellation form at the end of this document, but it is not obligatory.

You may only return Product(s) over which you have taken reasonable care and which you have not used in a manner that goes beyond what is necessary to establish the nature, characteristics and functioning of the Product(s). You will be liable for any diminished value of the Product(s) resulting from your handling of the Product(s) other than what is necessary to establish the nature, characteristics and proper functioning of the Product(s) you bought.

PLEASE NOTE THAT YOU CANNOT EXERCISE THIS RIGHT OF CANCELLATION IN RESPECT OF CUSTOMIZED PRODUCTS THAT HAVE BEEN MANUFACTURED IN ACCORDANCE WITH YOUR SPECIFICATIONS.

Once Global-e has received your online statement to cancel the contract, it will send you a confirmation email.

If you are a resident of a member state of the European Union or Iceland, Liechtenstein, or Norway ("EEA"), you will then have to return the Product(s) without undue delay and in any event not later than 14 days from the date on which you notified your decision to withdraw from the contract. You will bear the direct costs for returning the Product(s).

If you are a resident of a country outside the European Union, Iceland, Liechtenstein, and Norway ("EEA"), you will then have to return the Product(s) without undue delay and in any event not later than 30 days from the date on which you notified your decision to withdraw from the contract. You will bear the direct costs for returning the Product(s).

Return procedure:

You must return the Product(s) in their original package. You must include all accessories, user manuals and any free gifts that came in the same package. Where a Product has been purchased as a part of a bundle of multiple Products, all multiple Products within that bundle must be returned. Please treat the Product(s) with reasonable care and return them in the condition that they were delivered to you. Please pack the Product(s) securely and make sure that your order number is clearly visible on the outside of the parcel. To ensure fast and secure return we encourage you to follow the given return instructions.

We will refund the price you paid for the Product(s) plus the initial shipping cost within 2 days of receiving the returned products at our warehouse. In case you chose an express delivery option, only standard initial shipping cost will be reimbursed. The refund will be confirmed by email. Payment will be carried out using with the same means of payment as you used for the initial transaction.

If you return Product(s) 1) that you are not entitled to return, 2) that you damaged or used in a manner that goes beyond what is necessary to establish the nature, characteristics and functioning of the Product(s), or, 3) with Product(s) missing, or 4) have otherwise failed to exercise reasonable care when taking care of and returning Product(s), we reserve the right either to reject your return and decline to refund or to reduce any payments to be refunded to you for the diminished value of the Product(s), subject to applicable law.

Other return cases: If the Products you have received do not correspond to the ones you have ordered, or if your delivery is incomplete or damaged in transportation, please contact without delay Suunto’s Customer service for assistance.

  1. Warranties and Statutory Rights

Suunto offers an international limited warranty on its products in accordance with Suunto’s warranty terms. Further information is set out in Suunto warranty policy for Product(s) detailed on the website https://www.suunto.com/en-gb/Support/Warranty-information/Sports-Watches-Dive-Computers-and-Precision-instruments/.

If you believe that you are entitled to warranty services, please contact Suunto’s Customer service or contact your authorized Suunto retailer.

As a consumer, you have legal rights in relation to Products that are faulty or not as described. Further, Global-e and Suunto are under a legal duty to supply Products that are in conformity with this contract.  Nothing in the Sales Terms will affect these legal rights.

  1. Personal Data

Global-e will collect and process your personal data as the seller of the Products. Global-e is the data controller of your personal data Global-e collects and processes on Global-e’s own behalf.

Global-e and Suunto have entered into collaboration to be able to offer the Products in your country or region. Suunto will also collect your personal data to be able to ship the Products ordered by you, to facilitate any Product returns and to be able to provide customer service for you. Suunto may also use your personal data for marketing purposes in accordance with applicable laws. Suunto is the data controller of your personal data Suunto collects on Suunto’s own behalf.

Neither Global-e nor Suunto control the processing of your personal data by the other party as two separate data controllers. You should contact Global-e for questions and enquiries of the processing of your personal data by Global-e and Suunto for questions and enquiries of the processing of your personal data by Suunto.

Global-e’s privacy policy is available here and Suunto’s privacy policy is available here. The privacy policies and additional provisions in these Sales Terms govern the use of your personal data and use of cookies. Purchasing of Product(s) on the Online Store requires that you accept the privacy policies and the processing of personal data as described in said privacy policies. Otherwise it is not possible to sell and deliver the Products to you.

Global-e will process your payment of the Products. Global-e will take reasonable care to keep the details of your order and payment secure, but (in the absence of material negligence on their part) neither Suunto nor Global-e can be held liable for any loss you may suffer if a third party procures unauthorized access to any data you provide when accessing or ordering from the Online Store.

  1. Our Liability

We shall perform our obligations under these Sales Terms with reasonable care and skill.

There are certain liabilities that we cannot exclude under applicable law.  In particular, nothing in these Sales Terms limits our (or as the case may be Suunto’s) liability for personal injury or death caused by our negligence or our liability for fraud. As stated above in section 10, you have certain rights as a consumer, including legal rights relating to faulty Product(s). Nothing in these Sales Terms will affect these legal rights.

We are responsible only for losses that are a natural, foreseeable consequence of our breach of these Sales Terms. We shall not be liable if we are prevented or delayed from complying with our obligations by anything that you (or anyone acting on your behalf) does or fails to do or due to events that are beyond our reasonable control.

You should take all reasonable steps and precautions to ensure that the Product(s) you order are suitable for your purposes. You must follow any advice that we give you in relation to Product(s) (including instructions, user guides and/or manuals provided with Product(s)). We or Suunto do not accept liability for damage to Product(s) that we have supplied where caused by your failure to follow our advice.

We or Suunto shall not be liable for any losses related to any business of yours such as lost data, lost profits, lost revenues or business interruption.

We shall use our reasonable endeavours to verify the accuracy of information that is used on the Online Store but, subject to applicable law, cannot guarantee that all information will always be accurate and complete. It is possible, for example, that Product images and packaging may not always match Products supplied.  If you have any questions or concerns in this regard, please contact us before ordering any Product(s).  Also, pricing mistakes may occur from time to time, in which case we may cancel any orders being processed or accepted by us. We will correct errors on our Online Store as soon as possible after becoming aware of them.

PLEASE NOTE THAT THESE SALES TERMS DO NOT AFFECT (AND SHOULD NOT BE READ TO AFFECT) YOUR STATUTORY RIGHTS WHICH CANNOT BE WAIVED OR LIMITED BY CONTRACT.

  1. General

The Online Store may be used only for lawful purposes and in a lawful manner. You agree to comply with all applicable laws, statutes and regulations regarding the Online Store and any transactions conducted on or through the Online Store.

Suunto and Global-e make no warranty that the Online Store will meet your requirements or will be uninterrupted, timely or error-free, that defects will be corrected, or that the site or the server that makes it available are free of viruses or bugs or represents the full functionality, accuracy and/or reliability of the Online Store. Suunto and Global-e will not be responsible or liable to you for any loss of content or material uploaded or transmitted through the Online Store. The Online Store is subject to the terms of use available here.

If any provision or provisions of these Sales Terms shall be held to be invalid, illegal or unenforceable, that provision shall be enforced to the fullest extent permitted by applicable law, and the validity, legality and enforceability of the remaining provisions shall not in any way be affected or impaired.

In relation to purchases from the Online Store, Suunto and Global-e will communicate electronically by sending email or otherwise posting electronically.

Suunto and Global-e reserve the right to access, read, preserve, and disclose any information that we obtain in connection with the Order, and your use of the Checkout, as Suunto and Global-e reasonably believe is necessary to: (i) satisfy any applicable law, regulation, legal process, subpoena or governmental request, (ii) enforce these Sales Terms, including to investigate potential violations of them, (iii) detect, prevent, or otherwise address fraud, security or technical issues, (iv) respond to your support requests, or (v) protect the rights, property or safety of Suunto and Global-e, our users or the public.
